Evernorth Holdings, Inc. has completed its business combination with Armada Acquisition Corp. II, the special purpose acquisition company sponsored by Arrington XRP Capital Fund, LP. The digital asset treasury company announced the October 9 closing and said its common stock is expected to begin trading on the Nasdaq Stock Market under the ticker symbol XRPN on October 12, 2026.
The SPAC Path to a Nasdaq Listing
At closing, the company holds approximately 473 million XRP and has raised about $300 million in gross cash proceeds before transaction expenses. The public listing arrives at a time when XRP’s regulatory classification remains a key institutional question. The CFTC Chair Cites BTC, ETH, SOL, XLM, XTZ and XRP as Examples of Digital Commodities in prior remarks, a framework that may matter for how treasury vehicles structure their disclosure and risk narratives.
Evernorth’s backers include a global group of institutional and digital asset investors, including Arrington Capital, SBI Group, Ripple, Pantera Capital, Kraken and GSR. That kind of institutional participation mirrors other digital asset infrastructure moves, such as how MTCM Launches Talea DRN With Bank Frick as Digital Asset Partner attached established financial partners to a digital asset vehicle. Evernorth’s SPAC route is another example of crypto treasury structures moving toward conventional public market rails.
What the XRPN Debut Means for the XRP Economy
Evernorth describes itself as a digital asset treasury company building institutional access to the XRP economy at scale. Instead of functioning as a passive holding vehicle, management says it will deploy capital across the XRP economy, support infrastructure and use cases that expand XRP utility, and pursue strategies designed to grow XRP per share over time. Founder and CEO Asheesh Birla called the closing a milestone for bringing the company to public markets with the transparency and governance that public investors expect. That active-management approach distinguishes the vehicle from treasury funds that simply hold a diversified token basket. The institutional focus also sits alongside broader tokenization standardization work, such as OpenAssets and Sui Advance Institutional Tokenization Standards Under Linux Foundation Decentralized Trust, suggesting that institutional participants are looking for standards and structures around digital assets, not just exposure.
The XRPN listing will be closely watched as a test of whether public market investors accept an XRP-focused treasury vehicle rather than a diversified digital asset fund. If Evernorth can consistently report growth in XRP per share and maintain transparent holdings, it may offer a template for other single-chain treasuries seeking public market capital.
